OFFSHORE: La Cour suprême exonère Me Pottaya de tout blâme

La juge Chui Yew Cheong, siégeant en référé, a rejeté une demande de « Mareva Order » pour un montant de Rs 40 millions (1,3 million de dollars américains) formulé à l’encontre de Me Siv Pottaya, qui agissait en tant qu’Escrow Agent dans une importante transaction financière. Une société indienne, la J.K. Cement, avait saisi la Cour suprême d’une demande pour un « Mareva Order » et un « Freezing Order », considérant que ses intérêts n’ayant pas été sauvegardés et que « all the respondents (dont Me Pottaya) formed part of a large conspiracy to defraud and deprive J.K. Cement Limited of the sum of US $ 1,291,875 ».
Après analyses des faits et des documents, soit plus de 600 pages, la Cour suprême a exonéré Me Pottaya de tout blâme ou intention de fraude dans cette transaction financière, qui avait pour but de lever un prêt de 117 millions de dollars en faveur de J.K. Cement Limited sur le marché international. Me Pottaya, qui a été mis en cause dans cette affaire depuis mars 2004, avait retenu les services de sir Hamid Moollan (QC) et Mes Antoine Domingue et Francis Hardy.
« Without deciding on the merits of any main base that J.K. Cement Limited has brought against all the respondents, the arguments of J.K. Cement Limited, in the absence of other evidence, tend to support a case of withholding the approval of a Standby Letter of Credit for no valid reason rather than one of intentional fraud on the part of all the parties. No good arguable case of fraud or conspiracy to defraud has been made out. Furthermore, in the course of the frequent correspondence exchanged between J.K. Cement Limited and Wellbred between the execution of the loan and the expiry of the Transaction Commitment Notice, no mention was made by J.K. Cement Limited of fraud or conspiracy to defraud », souligne la juge dans les attendus du jugement émis mercredi.
Plus loin, la juge Chui Yew Cheong avance que « on the other hand, as is submitted by counsel for J.K. Cement Limited, the crucial issue is whether the escrow agent acted impartially and according to the terms of the escrow agreement or whether he acted negligently or even fraudulently when he released the Partial Closing Cost. Again ex-facie the affidavit evidence and in the absence of other evidence, it would appear that the escrow agent acted in compliance of the escrow agreement in releasing the Partial Closing Cost ».
Le « main case » dans cette affaire dans le secteur offshore sera appelé devant le Master and Registrar le 21 février de l’année prochaine après la décision de la juge en Chambre de « set aside » pour des Mareva and Freezing Orders contre Me Pottaya et onze autres parties, principalement des étrangers.
